IMPORTANT NOTICE REGARDING ARBITRATION, FINANCIAL ADVICE & AUTO-RENEWAL

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THIS AGREEMENT CONTAINS A MANDATORY BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER IN SECTION 13 THAT REQUIRES THE RESOLUTION OF DISPUTES ON AN INDIVIDUAL BASIS RATHER THAN JURY TRIALS OR CLASS ACTIONS. THIS SERVICE IS STRICTLY FOR EDUCATIONAL AND QUANTITATIVE RESEARCH PURPOSES AND DOES NOT CONSTITUTE REGISTERED INVESTMENT, LEGAL, OR TAX ADVICE.

1. Acceptance of Terms and Eligibility

This Terms of Service agreement ("Agreement", "Terms") is a legally binding contract between you ("User", "you", or "your") and All In Market Dash, LLC ("Company", "we", "our", or "us"), governing your access to and use of our website, web applications, APIs, data feeds, predictive tools, AI models, and software services (collectively, the "Service").

By accessing, browsing, registering for, subscribing to, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Investment Disclaimer, each of which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue all use of the Service.

Age Requirement: The Service is intended solely for users who are at least eighteen (18) years of age or the legal age of majority in their jurisdiction. By using the Service, you represent and warrant that you meet this age requirement and have full legal capacity to enter into this Agreement.

2. Nature of the Service — Strict Non-Advisory and Educational Status

2.1 Non-Advisory Status under the Investment Advisers Act of 1940: The Service provides algorithmic macroeconomic regime classification, historical quantitative backtests, regulatory SEC Form 4 and Form 13F filing aggregation, financial modeling calculators, and machine-learning synthesis. The Company is not a registered investment adviser (RIA), broker-dealer, commodity trading advisor (CTA), tax advisor, estate planner, or financial planner under the laws of the United States or any other jurisdiction.

2.2 No Fiduciary Duty or Personalized Recommendations: Nothing published on, transmitted through, or generated by the Service constitutes an offer to buy or sell, a recommendation of any security, portfolio, transaction, or investment strategy, or an endorsement of any asset. All content is impersonal, automated, and not tailored to the specific financial situation, investment objectives, or risk tolerance of any individual user.

2.3 Independent Judgment and Professional Consultation: You acknowledge and agree that any investment, trading, housing, tax, or financial decision you make is made solely at your own risk. You should always consult with a licensed, certified financial planner (CFP), registered investment adviser, certified public accountant (CPA), or attorney before executing financial transactions.

3. User Accounts, Authentication & Security

3.1 Account Registration: To access certain features of the Service, you may register for an account using your email address or authorized OAuth credentials (e.g., Google or Apple Sign-In). You agree to provide accurate, current, and complete information during registration and to keep such information updated.

3.2 Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your account credentials and passwords, as well as for all activities occurring under your account. You agree to notify us immediately of any unauthorized access or security breach. The Company shall not be liable for any loss or damage arising from your failure to safeguard your account.

3.3 Account Termination: We reserve the right, in our sole discretion, to suspend or terminate your account or access to the Service at any time, with or without notice, for conduct that violates these Terms or is harmful to other users, our business, or third parties.

4. Subscriptions, Billing, Automatic Renewal & Cancellation (California ARL & FTC Compliant)

4.1 Continuous Service & Automatic Renewal: Paid subscriptions (including the Pro Plan at $20.00 USD/month and Institutional Plan at $150.00 USD/month) are billed in advance on a recurring monthly or annual basis. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING CYCLE UNLESS AND UNTIL YOU CANCEL YOUR SUBSCRIPTION IN ACCORDANCE WITH THESE TERMS. By subscribing, you authorize our third-party payment processor to charge your stored payment method for each renewal term.

4.2 Immediate Self-Service Cancellation: In compliance with the California Automatic Renewal Law (Cal. Bus. & Prof. Code § 17600 et seq.) and Federal Trade Commission rules, you have the right to cancel your subscription at any time online without speaking to a representative. To cancel, navigate to Settings > Account & Billing in the application and click "Cancel Subscription", or email support@marketdash.com. Upon cancellation, your access to paid features will continue until the conclusion of your current paid billing period, and no further recurring charges will occur.

4.3 Refund Policy: Except as expressly provided herein or required by applicable law, all subscription fees are non-refundable. For first-time subscribers to the Pro Plan, we offer a 14-day satisfaction refund guarantee from the initial purchase date upon written request to support@marketdash.com.

4.4 Price Adjustments: We reserve the right to modify subscription pricing. We will provide at least thirty (30) days advance notice of any price change via email or prominent in-app notification. Your continued use of the Service following the effective date of a price modification constitutes acceptance of the new price.

5. Intellectual Property Rights & Limited License

5.1 Proprietary Rights: All software, source code, user interfaces, regime classification methodologies, conviction scoring algorithms, quantitative backtesting engines, database architectures, graphics, visual designs, trademarks, and content comprising the Service are the exclusive intellectual property of All In Market Dash, LLC and its licensors, protected by United States and international copyright, trademark, trade secret, and patent laws.

5.2 Limited User License: Subject to your ongoing compliance with this Agreement, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial investment research or internal institutional business evaluation.

5.3 Restrictions: You shall not: (a) copy, modify, distribute, sell, lease, or create derivative works from the Service; (b) reverse engineer, decompile, or attempt to extract source code from the software; (c) scrape, harvest, or extract data via automated bots, crawlers, or scripts; or (d) share, redistribute, or resell data feeds or reports to third parties without prior written consent.

6. User Content & Uploaded Portfolio Data Privacy

6.1 Local-First Processing: The Service is designed with a privacy-first architecture. Brokerage portfolio CSV/Excel files and user financial settings uploaded to the Service are processed on your local compute environment and stored in local process memory/data directories. We do not sell or monetize your individual portfolio holdings.

6.2 License to Process: To the extent you upload or transmit portfolio information, notes, or prompts, you grant the Company a worldwide, royalty-free, limited license to store, parse, format, and execute algorithmic analysis solely to provide the dashboard features requested by you.

7. AI Copilot & Machine Learning Synthesis Disclaimer

The Service incorporates generative artificial intelligence and large language models (including models via OpenRouter and Anthropic) to generate macro reports and answer financial inquiries. AI-generated text may contain errors, omissions, or inaccuracies ("hallucinations") and should never be relied upon as factual or verified financial guidance. You are strictly required to independently verify all figures, dates, ratios, and analyses. The AI Copilot does not have authority to execute trades on your behalf.

8. Third-Party Data Providers & External Feeds

The Service integrates data from third-party public and private providers, including the Federal Reserve Bank of St. Louis (FRED), the U.S. Securities and Exchange Commission (SEC EDGAR), Yahoo Finance, Polymarket, Zillow Research, and ApeWisdom. We do not control and are not responsible for the timeliness, accuracy, availability, or completeness of third-party data feeds. We disclaim all liability arising from delays, interruptions, or inaccuracies in third-party data.

9. Acceptable Use & Prohibited Conduct

You agree not to:

  • Use the Service in violation of any applicable federal, state, local, or international law or regulation (including SEC, FINRA, and CFTC rules).
  • Engage in market manipulation, insider trading, or illegal securities schemes.
  • Interfere with, overburden, or disrupt the integrity or security of our servers or networks.
  • Circumvent or attempt to bypass authentication barriers, access limits, or rate limiters.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

10. Disclaimer of Warranties ("AS IS" & "AS AVAILABLE")

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE UNITED STATES LAW, THE SERVICE, INCLUDING ALL CONTENT, MODELS, DATA FEEDS, AI COPILOTS, QUANTITATIVE BACKTESTS, AND FEATURES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, FREEDOM FROM COMPUTER VIRUSES OR BUGS, AND UNINTERRUPTED OR ERROR-FREE SERVICE. WE DO NOT WARRANT THAT ANY BACKTEST, MODEL, OR CONVICTION SCORE WILL RESULT IN PROFITABLE INVESTMENTS.

11. Limitation of Liability

IN NO EVENT SHALL ALL IN MARKET DASH, LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, TRADING LOSSES, CAPITAL LOSSES, LOSS OF REVENUE, LOSS OF DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL CUMULATIVE LIABILITY OF THE COMPANY ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

12. Indemnification

You agree to defend, indemnify, and hold harmless All In Market Dash, LLC, its subsidiaries, affiliates, officers, directors, agents, partners, and employees from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way connected with: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any investment, trading, housing, or financial decisions made by you or on your behalf.

13. Dispute Resolution: Binding Individual Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND HAVE A JURY HEAR YOUR CLAIMS.

13.1 Informal Resolution: Before initiating formal dispute proceedings, you and the Company agree to attempt in good faith to resolve any dispute, claim, or controversy informally for a period of at least thirty (30) days by providing written notice to legal@marketdash.com.

13.2 Mandatory Binding Arbitration: If informal resolution is unsuccessful, all disputes arising out of or relating to this Agreement or the Service shall be resolved through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, before a single neutral arbitrator. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this section.

13.3 CLASS ACTION WAIVER: YOU AND THE COMPANY AGREE THAT ALL CLAIMS MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

13.4 30-Day Opt-Out Right: You have the right to opt out of mandatory arbitration by sending written notice of your decision to opt out to legal@marketdash.com within thirty (30) days of first accepting these Terms.

14. Governing Law & Jurisdiction

This Agreement and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware and the United States, without giving effect to any principles of conflicts of law. To the extent any matter is not subject to arbitration, you and the Company irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

15. DMCA / Copyright Policy

In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), if you believe that any content hosted on the Service infringes upon your copyright, you may submit a takedown notification to our designated agent with complete statutory details at dmca@marketdash.com.

16. Modifications, Severability & Contact Information

We may revise these Terms from time to time by posting the updated version with a revised "Effective Date". If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be severed and shall not affect the validity and enforceability of the remaining provisions.
